These Terms of Service (“Terms”) are an agreement between you and Reform Marketing LLC, an Ohio limited liability company doing business as Canvas Scout (“Canvas Scout,” “we,” “us”). They cover canvasscout.com, the app at app.canvasscout.com, our API, and the business data in them (the “Service”). If you use the Service for a company, you agree to these Terms on its behalf and confirm you're authorized to do so; “you” then means the company.
Who can use Canvas Scout
Canvas Scout is a business tool. You must be at least 18, use it for business purposes, and be able to form a binding contract. You may not use the Service if you're barred from it under US law.
Accounts and seats
- Each seat is for one named person. Don't share sign-ins; add a seat instead.
- Keep your password safe and tell us right away at hello@canvasscout.com if you think someone else has used your account.
- The account owner is responsible for everything done under the account, including by the people they add.
Subscriptions, free trials and automatic renewal
- Plans and prices are listed on our pricing page in US dollars. Taxes are extra where they apply.
- Free trial. New subscriptions start with a 7-day free trial. No card is needed to start. Before the trial ends we ask for payment details; if you add them, your subscription starts when the trial ends and we charge the plan and billing period you chose. If you don't, the trial simply ends and nothing is charged.
- Automatic renewal. Subscriptions renew automatically at the end of each monthly or annual period, at the then-current price, until you cancel. For annual plans we'll email you a reminder before the renewal date.
- Cancelling. You can cancel anytime from your account settings or by emailing hello@canvasscout.com. Cancellation stops future renewals; you keep access until the end of the period you've paid for.
- Price changes. We'll give you at least 30 days' notice by email before a price change applies to your subscription, and you can cancel before it takes effect.
- Upgrades and downgrades. Upgrades take effect immediately and we charge the prorated difference. Downgrades take effect at your next billing date.
- Refunds are covered by our Refund Policy.
- Failed payments. If a payment fails, we'll tell you and may pause access until it's resolved.
Territories
- A territory is a metro area or a set of counties, counting only businesses in the industries you choose, up to 25,000 businesses. Larger areas or more industries can need more than one territory.
- Before you buy, we show an estimate of the number of businesses, based on U.S. Census data. Your actual map may hold more or fewer businesses. Your price is set at checkout and doesn't change after we build your map.
- We build your map after you sign up, usually within 24 hours, and email you when it's ready. That's a goal, not a guarantee; large territories can take longer. If we can't build your territory, we'll refund what you paid for it.
- Territories are not exclusive. Other customers may buy the same area.
Business data and your license
While your subscription is active, we give you a limited, non-exclusive, non-transferable license to view and use the business data in your territory for your own prospecting and sales outreach, and for your clients' if you're an agency on the Agency plan. You may export data only where your plan includes an export feature, and exported data is covered by the same license.
You may not:
- sell, rent, publish or give the data to anyone else, or include it in another product, list or database;
- use the data to build or improve a product that competes with Canvas Scout; or
- keep using data you exported after your subscription ends for longer than you need to finish work already in progress.
Our data may include a small number of seeded records that help us trace data that has been copied or shared in violation of these Terms.
Accuracy. Business data comes from public and commercial sources and automated checks, and businesses change constantly. Some information will be out of date or wrong. Pain-point scores and tiers are our automated estimate of which businesses might need what you sell. They're opinions, not facts or guarantees. Always check before you rely on them.
Acceptable use
You're responsible for how you contact the businesses you find through Canvas Scout, and you must follow every law that applies to your outreach. In particular:
- Calls. Follow the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, the National Do Not Call Registry and state telemarketing laws. Don't use an autodialer, prerecorded or artificial voice to call a mobile number without the consent the law requires.
- Text messages. Don't send marketing text messages to numbers from Canvas Scout unless you have the recipient's prior express written consent.
- Email. Follow CAN-SPAM: no misleading subject lines or sender names, include your postal address and a working unsubscribe, and honor opt-outs promptly.
- In person. Follow local rules for door-to-door sales, including permit or solicitor-license requirements, and respect “No soliciting” signs.
- Opt-outs. If a business asks you to stop contacting it, stop, and keep a record so it stays stopped.
You also may not:
- scrape, crawl or bulk-download the Service, use scripts or bots to extract data, or get around rate limits, daily limits or territory limits;
- share sign-ins, resell access, or let people outside your account use the Service;
- probe, scan or test the Service's security, or reverse engineer it, without our written permission;
- use the Service to harass anyone, to discriminate unlawfully, or for anything illegal, deceptive or harmful; or
- misrepresent who you are or that you're affiliated with Canvas Scout when you contact businesses.
We may limit, suspend or end access that breaks these rules, and we'll tell you why unless the law or an investigation prevents it.
Features in development
Features marked “Coming soon” aren't available yet. We're building them, but we can't promise when they'll ship or exactly how they'll work, so please buy based on what's available today.
Your content
Notes, visit records and other content you add stay yours. You give us permission to store and process them only to provide the Service to you. If you send us feedback or ideas, we may use them without owing you anything.
Our property
The Service, its software, design, maps, scores and compiled data belong to Reform Marketing LLC and its licensors and are protected by law. These Terms don't give you any rights in them except the limited license above. “Canvas Scout” and our logos are our trademarks.
Ending the agreement
You can stop using the Service and cancel anytime. We may suspend or end your account if you seriously or repeatedly break these Terms, don't pay, or if the law requires it. If we end your account without cause, we'll refund the unused part of any prepaid period. After your account ends, the license to our data ends too, and we delete your account data as described in our Privacy Policy.
Disclaimers
We work hard to keep Canvas Scout accurate and available, but the Service is provided “as is” and “as available.” To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We don't promise that the Service will be uninterrupted or error-free, or that using it will produce any particular sales result.
Limits on liability
To the extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose. These limits don't apply to your obligations under “Business data and your license,” “Acceptable use” or “Indemnity,” or where the law doesn't allow them.
Indemnity
If a third party makes a claim against us because of how you contacted a business, your breach of these Terms, or your violation of any law (including telemarketing and email laws), you'll defend us and cover the resulting costs, damages and reasonable legal fees.
Governing law and disputes
These Terms are governed by the laws of the State of Ohio and applicable US federal law, without regard to conflict-of-law rules. Before filing any claim, please email us so we can try to resolve it informally within 30 days. Any lawsuit must be brought in the state or federal courts located in Hamilton County, Ohio, and both parties consent to those courts.
Changes to these Terms
We may update these Terms. If a change is significant, we'll email account owners at least 30 days before it takes effect. Continuing to use the Service after that means you accept the new Terms; if you don't, you can cancel before they apply.
General
These Terms, together with our Privacy Policy and Refund Policy, are the whole agreement between us about the Service. If a part is found unenforceable, the rest stays in effect. Not enforcing a right isn't a waiver. You can't transfer these Terms without our consent; we can transfer them as part of a merger or sale of our business. Neither party is responsible for delays caused by events beyond its reasonable control.
