This Partner Agreement (“Agreement”) is between you and Reform Marketing LLC, an Ohio limited liability company doing business as Canvas Scout (“Canvas Scout,” “we,” “us”). It covers the Canvas Scout partner program: sharing your personal partner link and earning a commission from the customers it brings us. You accept it in the Canvas Scout app before your Partner page opens. Your Canvas Scout account itself is still covered by our Terms of Service and Privacy Policy.
The short version. You earn 25% of every payment a customer you brought makes in their first 12 months as a paying customer, then 10% for as long as they keep paying. Someone becomes your customer when they open your link and create a new account within 60 days. Each commission waits 30 days, then we pay it through Stripe on the 1st of the month once you're owed at least $10. Refunds and chargebacks come off what you earn. Every time you share your link or recommend Canvas Scout, say clearly that you earn from it.
Who can be a partner
- The program is by invitation only. To be a partner you must be at least 18, live in the United States, and be able to receive payouts through Stripe to a US bank account. We can't take partners outside the US for now.
- If you join for a company, you accept this Agreement for it and confirm you're authorized to; “you” then means the company.
- You're an independent contractor, not our employee, agent or partner in a legal sense. You can't make promises, sign anything or take payments for us. You decide how, when and where you share your link, within the rules below, and you're free to promote other products too.
Your link and who counts as your customer
- Your link. Your Partner page in the app shows your personal link, like canvasscout.com/p/yourname. We may change the code at the end of it (for example, if you ask us to); after a change, only the new link counts.
- How it works. When someone opens your link, our own server counts the click and their browser keeps a small cookie with your code and the time they clicked, for 60 days (see our Cookie Policy). If they create a new Canvas Scout account on canvasscout.com in that browser within 60 days, they become your customer. A link to canvasscout.com/start?p=yourname works too.
- The last link wins. If someone opens another partner's link after yours, a sign-up after that goes to the partner whose link they opened last.
- They don't have to pay right away. A customer is yours from the day they sign up. Many start on a free account; you earn on their payments whenever they begin paying.
- Set once. Which partner a customer belongs to is decided when they sign up and doesn't change afterwards, except when we correct a mistake by hand.
- What doesn't count: someone who already had a Canvas Scout account; your own account, or an account made with your email address; a sign-up more than 60 days after the click; and a sign-up that our link can't connect to the click, for example on a different device or browser, after cookies were cleared or blocked, or made inside the iPhone or Android app (the cookie can't reach the app). If you believe someone you sent wasn't credited, email us. If we can confirm it, we may add them to your customers by hand; that decision is ours.
- No change to the customer's price. A customer pays the same with or without your link. Partner links don't carry a discount, and you can't offer one for us.
What you earn
- 25% for the first 12 months, then 10%. You earn 25% of every payment a customer you brought makes during their first 12 months, counted from their first paid payment (not from when they signed up). After that you earn 10% of every payment, for as long as they keep paying.
- Every kind of payment counts: monthly and yearly plans, renewals, upgrades and extra blocks of businesses. Free accounts and free trials earn nothing until the customer pays.
- Payments on our website (through Stripe) earn on the amount the customer paid. Card processing fees aren't taken off.
- Payments in the iPhone or Android app are taken by Apple or Google, who keep a fee (15% today). You earn on what reaches us after that fee. For example, a $69 monthly plan paid on our website earns you $17.25 in the first 12 months; the same plan paid in the app earns you $14.66 (25% of the $58.65 that reaches us).
- Amounts are in US dollars, and each commission is rounded to the nearest cent.
- What you see. Your Partner page shows your link clicks, sign-ups, paying customers, what you've earned and your payouts. Each customer shows only as “Customer #1”, “Customer #2” and so on, with their plan, when they joined, your current rate for them, their status (free, trial, paying or cancelled) and what you've earned from them. You never see a customer's name, business, email or phone number, and we won't give them to you.
When and how you're paid
- Through Stripe. We pay partners through Stripe Connect. Choose “Set up payouts” on your Partner page and Stripe asks for your bank and tax details on its own pages; we never see them. By setting up payouts you also agree to Stripe's terms for connected accounts. We keep only your Stripe account ID and whether it's ready to be paid. Until your payouts are set up, what you earn waits for you.
- A 30-day wait. Each commission waits 30 days after the customer's payment, so that a refund can come back first. Then it's ready to be paid.
- Paid on the 1st, from $10. On the 1st of each month (Eastern time), we send everything that's ready as one payout, as long as it adds up to at least $10. Less than $10 rolls over to the next month. For example, a customer pays on October 5; the commission is ready on November 4 and paid on December 1.
- We pay Stripe's fees for sending your monthly payout. How soon it then reaches your bank depends on Stripe and your bank, usually a few business days. We email you each time we pay you, and your Partner page lists every payout.
- Delays. If a payout can't go out (for example, your Stripe setup isn't finished, or Stripe turns it down), what you're owed stays owed and goes out once the problem is fixed. A delay never cancels a commission.
- Holding payouts. We may hold your payouts while we look into a possible breach of this Agreement, sign-ups that look fake, or a problem with a payment. If a payout is held, you can ask us why and we'll explain.
Refunds and chargebacks
- If we refund part of a payment, the commission on it comes down by the same share: half the payment refunded takes back half the commission. If we, Apple or Google refund a whole payment, or the customer disputes it with their bank (a chargeback), the whole commission on that payment is taken back.
- If that commission hasn't been paid to you yet, it's reduced or cancelled. If it was already paid, the amount comes off your future payouts. We never send you a bill for it.
- If your partnership ends while you still owe us from a refund and you have nothing more to earn, we write it off.
Say that you earn from it (FTC disclosure)
US law (the Federal Trade Commission's rules on endorsements) requires you to tell people when you earn from something you recommend. Every time you share your link or recommend Canvas Scout, say clearly that you earn from it: a commission when people sign up through your link, and, as a partner, a Canvas Scout account at no charge. Both count, so a recommendation without your link needs a disclosure too.
- In a video: say it out loud in the video itself, when you first mention Canvas Scout, and show it on screen. In a short video, put it on screen and in the caption.
- In a description, caption or post: put it right next to your link and above any “more” cut-off, so people see it without clicking or scrolling.
- In a live stream: say it each time you mention Canvas Scout or share the link.
- In an email or newsletter: put it next to the link.
Words that work: “I'm a Canvas Scout partner. If you sign up through my link, I earn a commission.” Or: “Paid link: I earn from sign-ups through this link.” A clear #ad at the start of a short post works too. Words that don't: a disclosure only on your About page or channel page, one hidden among hashtags or after the cut-off, or vague tags like #sp or #partner on their own. Use a platform's own paid-promotion setting where it has one, but don't rely on it alone.
Only say what you honestly think about Canvas Scout, based on your own use, and don't claim results you haven't seen. Leaving out the disclosure breaks this Agreement.
Rules for promoting Canvas Scout
- No spam. Follow CAN-SPAM and every other law on email, calls and texts. Email your link only to people who asked to hear from you. Don't use bought or scraped lists, don't call or text lists of people about it, and don't post it as spam in comments, forums or direct messages.
- No paid search ads on our name. Don't bid on “Canvas Scout” (or misspellings or variations of it) in Google Ads, Microsoft Ads or any other search ads, and don't use our name in a search ad's text or web address.
- No self-referrals or fake accounts. Don't sign up yourself, your own business or accounts you control through your link, and don't create, or pay anyone to create, fake or throwaway accounts.
- No misleading claims. Describe Canvas Scout truthfully, using what our website says about prices, plans and features. Don't promise sales, income or other results, discounts we don't offer, or features marked “Coming soon” as if they were available.
- Don't present yourself as Canvas Scout. You may use the name Canvas Scout to talk about it and link to it. Don't say or suggest that you are Canvas Scout or work for us, don't use our logo in a way that suggests we made your content, and don't register web addresses, social media accounts or app names that include “Canvas Scout”.
- Follow the law and each platform's rules wherever you share your link.
We may ask you to change or take down anything that breaks these rules.
Your partner account
As a partner you get a Canvas Scout account at no charge, on the plan and territory we set up with you. It's never billed, and it's covered by our Terms of Service. Only the account owner sees the Partner page. Your account ends when the partnership ends, unless we decide to keep it.
Taxes
You're responsible for the taxes on what you earn. We don't withhold taxes from your payouts. When you set up payouts, Stripe collects your tax information (a Form W-9), and Stripe files Form 1099 for us and sends you a copy when the law requires one.
Ending the partnership
- Either of us can end it at any time. To end it, email hello@canvasscout.com. If we end it, we'll tell you by email.
- If it ends for any reason other than breaking this Agreement (including when you end it), you keep earning on the customers you already brought, at the rates above, for as long as they keep paying, and we keep paying you on the 1st of the month as above. New sign-ups through your link stop counting.
- If we end it because you broke this Agreement (for example spam, fake accounts or self-referrals, a missing FTC disclosure, bidding on our name, misleading claims, or presenting yourself as Canvas Scout), commissions not yet paid to you are cancelled and you earn nothing more, including from customers you already brought.
- Your partner account ends with the partnership unless we decide to keep it.
- The sections on refunds, taxes, limits on liability, indemnity and governing law still apply after the partnership ends.
Changes to this Agreement
We may change this Agreement, including the rates. We'll email you at least 30 days before a change takes effect, and when we send that notice we'll ask you to accept the new version in the app before your Partner page opens again. Your payouts keep going either way. A change never lowers the rate on payments customers made before it takes effect. If you don't want to accept a change, you can end the partnership before it takes effect, and it ends as described above for any reason other than breaking this Agreement.
Limits on liability
We don't promise that you'll earn any amount, or that the program will keep running unchanged. Our records of clicks, sign-ups, payments and refunds decide what you earn; if you think something is wrong, tell us and we'll look into it. To the extent the law allows, the program is provided “as is,” neither of us is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, and our total liability to you for any claim about the program is limited to the commissions we paid you in the 12 months before the claim arose. That limit doesn't reduce commissions you're owed under this Agreement, and these limits don't apply to your obligations under “Rules for promoting Canvas Scout” or “Indemnity.”
Indemnity
If someone makes a claim against us because of what you posted, said or sent while promoting Canvas Scout, your breach of this Agreement, or your breaking any law (including the FTC's endorsement rules and the laws on email, calls and texts), you'll defend us and cover the resulting costs, damages and reasonable legal fees.
Governing law and the rest
This Agreement is governed by the laws of the State of Ohio and applicable US federal law, without regard to conflict-of-law rules. Before filing any claim, please email us so we can try to resolve it informally within 30 days. Any lawsuit must be brought in the state or federal courts located in Hamilton County, Ohio, and both of us consent to those courts.
This Agreement, together with our Terms of Service and Privacy Policy, is the whole agreement between us about the partner program. If a part is found unenforceable, the rest stays in effect. Not enforcing a right isn't a waiver. You can't transfer this Agreement without our consent; we can transfer it as part of a merger or sale of our business. We send notices to the email address on your account.
